# Website Terms of Use

The terms on which you may access and use this website.

These terms of use apply to your use of each page of the website at dacm.io (Site). By accessing and using the Site you agree to these terms. The Site is operated by DACM Investment Partners Pty Ltd (ABN 50 624 214 777) (DACM Investment Partners) on behalf of itself and its affiliates, including Digital Asset Capital Management Inc. (DACM Inc), a British Virgin Islands company (together, we, our or us). We may change, modify, add to or remove portions of these terms at any time, and by continuing to use the Site you agree to be bound by these terms as amended.

These terms incorporate our Privacy Policy and the Important Information page, and any other rules, policies and procedures published on the Site from time to time, each of which may be updated by us without notice to you. If you do not agree to these terms as amended from time to time, you may not access or use the Site.

Permitted use

You are not permitted to use the Site, or permit or procure others to use it:

- for any unlawful, improper or illegal purpose or activity;
- if you are under the age of 18;
- if you are not an authorised person as described below;
- if you do not have the legal right and capacity to enter into a legally binding agreement with us;
- to interfere with anyone using the Site, or to do anything that would breach any other person's privacy (including uploading personal information about an individual without their consent) or any other legal rights;
- to violate our or any third party's copyright, trade mark, proprietary or other intellectual property rights;
- to damage our name or reputation or that of our affiliates or any third party;
- to impersonate any of our employees or any other person, or to use a false name or imply an association with us;
- to penetrate or hack our security measures or other entities' systems;
- to generate excessive internet traffic, interfere with our network or others' use of the Site, or degrade or deny service to users of the Site or others;
- to tamper with, modify, interfere with or damage the Site, including by introducing viruses, worms, harmful code or Trojan horses; it is your responsibility to ensure that whatever you download from the Site is free of such items;
- to transmit confidential or proprietary information, except at your own risk; or
- to facilitate or assist a third party to breach these terms.

You must not use the Site or any content on or accessible from it in any way that competes with, or facilitates any person's competition with, our business.

You agree to indemnify and hold harmless DACM Investment Partners, DACM Inc, our affiliates and our respective officers, employees and agents from and against all claims, liabilities, damages, costs, losses and expenses, including legal costs, arising out of or connected with your breach of these terms or your access to or use of the Site. We may terminate or suspend any user's access to the Site at any time.

Authorised persons

The information on or accessible through the Site is available only to persons who qualify as eligible investors in our funds: for the funds domiciled in the British Virgin Islands, professional investors within the meaning of the Securities and Investment Business Act 2010 (as amended) of the British Virgin Islands; and for the DACM Global Digital Asset Fund, wholesale clients as defined in the Corporations Act 2001 (Cth).

The Site and the funds referred to on it are not directed at, and are not made available to, retail clients in any jurisdiction, and are not intended for distribution to or use by any person in any jurisdiction where that distribution or use would be contrary to law or regulation. The Site is not directed at US persons as defined in Regulation S under the United States Securities Act of 1933, and no offer is made to any US person through the Site.

No offer, recommendation or solicitation

DACM Inc is approved as an Approved Manager by the British Virgin Islands Financial Services Commission (FSC) under the Investment Business (Approved Managers) Regulations 2012. DACM Investment Partners is a corporate authorised representative (No. 001293214) of Quay Wholesale Fund Services Pty Ltd (AFSL 528526) and is authorised to deal in, and to provide general financial product advice in relation to, specified DACM funds to wholesale clients only. The information on the Site has not been reviewed or approved by the FSC, the Australian Securities and Investments Commission or any other regulatory or government authority, and no such authority takes responsibility for the financial soundness of DACM Investment Partners, DACM Inc, their affiliates or the funds, or for the correctness of any statement made or opinion expressed on the Site.

Nothing on the Site is an offer, invitation or solicitation to subscribe for, buy or sell any interest in any fund or any other financial product. The content of the Site does not constitute general or personal advice by DACM Investment Partners, DACM Inc or any affiliate or fund in relation to a potential investment in any financial product, and it does not take into account any person's investment objectives, financial situation or needs. It is not, and should not be treated as, a recommendation that an investment in any entity is suitable for any person, and neither the content nor its distribution forms the basis of, or may be relied on in connection with, any contract or commitment.

The Site may refer to a fund that is proposed or in the course of establishment. A proposed fund may not proceed. Registering an expression of interest in a proposed fund is not an application and creates no obligation on you or on us.

Neither DACM Investment Partners, DACM Inc, their affiliates nor any fund managed or advised by them is, or expects to be, registered as an investment company under the United States Investment Company Act of 1940, and investors in the funds will not be entitled to the benefits of that Act. Interests in the funds have not been subject to a public offering or registered under the United States Securities Act of 1933, and accordingly may not be offered, sold or otherwise transferred within the United States or to, or for the account or benefit of, US persons as defined in Regulation S under that Act.

You should make your own enquiries and evaluations to determine the suitability of any investment, having regard to your investment objectives, financial situation and particular needs, and you should obtain all necessary financial, legal, tax and investment advice. Nothing on the Site constitutes investment, legal, tax or other advice and nothing on it is to be relied on in making an investment or other decision. An investment in any of our funds is subject to the relevant fund's offering memorandum and its memorandum and articles of association, trust deed or other constituent documents, which may contain information that differs from the information on the Site and which must be read in full before any investment decision is made. Such an investment may be speculative and high risk and should not be regarded as a complete investment program. Investments are subject to substantial market fluctuations and there can be no assurance that appreciation will occur or that material losses will not be realised. The value of investments may fall as well as rise, and no assurance is given that any stated or implied investment objective will be achieved. The funds are available only under the terms of the relevant offering memorandum to qualifying investors in jurisdictions where an offer is authorised under applicable law, and are designed only for experienced and sophisticated investors able to bear the risk of the substantial impairment or complete loss of an investment.

No representation, warranty or liability

DACM Investment Partners, DACM Inc and their affiliates, including their directors, related parties, representatives and employees, exclude to the fullest extent permitted by law all conditions, warranties, representations, undertakings and other terms that might otherwise be implied by statute, common law or in equity, and all direct or indirect loss, liability, cost, expense, claim or damage of any kind, whether arising in tort (including negligence), contract or otherwise, even if foreseeable, resulting from or in connection with the Site, any information on it, or any link to a third party website. Where our liability cannot be excluded, we limit it to the fullest extent permitted by law. The materials on the Site are provided as is and as available, without warranties of any kind, express or implied, to the fullest extent permitted by law. Intellectual property

The Site and its contents, including all intellectual property, are proprietary to DACM Investment Partners, DACM Inc or third parties who have authorised their use. All rights are reserved. We may alter or delete material from the Site at any time. Unless otherwise noted, all information and materials on the Site, including images, illustrations, designs, icons, photographs, video and written material, are copyright, trade marks, service marks, trade names, trade dress or other intellectual property owned, controlled or licensed by us. No material from the Site may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way, except that you may, where specifically permitted, download one copy of the materials on a single computer for your personal, non-commercial use, provided you keep intact all copyright and other proprietary notices. General

These terms and your use of the Site are governed by the laws of New South Wales, Australia, without regard to conflict of laws principles, and any legal action or proceeding relating to the Site is to be brought exclusively in the courts of New South Wales. It is a condition of your use of the Site that you waive any objection to proceedings in those courts on the grounds of venue or inconvenient forum. We retain the right to bring proceedings against you for breach of these terms in your country of residence or any other jurisdiction we consider appropriate.

These terms, together with the Privacy Policy, the Important Information page and any other rules, policies or procedures incorporated by reference, form the entire agreement between you and us in relation to your use of the Site. Certain pages or documents on the Site may contain additional terms, disclosures or disclaimers, which prevail over these terms in relation to those pages or documents. If any provision of these terms is unlawful, void or unenforceable, it is severed and the remaining provisions continue in effect. Headings are for convenience only.
